Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the warranty management Shopify application (the "App") provided by Westridge Developments Pty Ltd (ABN 42 649 643 989) ("we", "us", "our").

By installing or using the App, you ("Merchant", "you") agree to be bound by these Terms.

If you do not agree, you must not use the App.

2. Description of Service

The App is a software tool designed to assist Shopify merchants in managing customer warranty claims, including claim intake, review, and processing workflows.

The App operates within the Shopify platform and relies on Shopify APIs and infrastructure.

3. Eligibility

You must:

  • Be a registered Shopify merchant with authority to operate the store
  • Have the legal capacity to enter into binding agreements
  • Comply with all applicable laws, including Australian Consumer Law and applicable international privacy laws (including GDPR where relevant)

4. Merchant Responsibilities

You agree to:

  • Use the App only for lawful business purposes
  • Comply with all applicable laws and regulations, including: Australian Consumer Law (ACL), Privacy Act 1988 (Cth), and General Data Protection Regulation (GDPR), where applicable
  • Maintain accurate store data within Shopify
  • Be solely responsible for warranty decisions, customer communications, and compliance with consumer guarantees and privacy obligations

You acknowledge that the App is a tool only and does not determine legal entitlements.

5. Data Processing & GDPR Roles

For the purposes of data protection laws:

  • You (the Merchant) act as the Data Controller
  • We act as a Data Processor, processing data solely on your behalf and under your instructions

We process data only as required to provide the App and in accordance with Shopify's platform requirements.

6. Shopify Data Compliance

We comply with Shopify's data protection requirements, including:

  • Use of data solely for App functionality
  • No unauthorised retention or reuse of data
  • Mandatory data deletion processes via Shopify webhooks, including: customers/redact, customers/data_request, and shop/redact

Where such webhooks are received, we promptly process deletion or data access requests in accordance with Shopify's requirements and applicable law.

7. Acceptable Use

You must not:

  • Use the App unlawfully or fraudulently
  • Attempt to reverse engineer or copy the App
  • Interfere with security or functionality
  • Process misleading or unlawful warranty claims

We may suspend or terminate access for misuse.

8. Intellectual Property

All intellectual property rights in the App remain the property of Westridge Developments Pty Ltd.

You are granted a limited, non-exclusive, non-transferable licence to use the App for internal business purposes.

9. Fees and Billing

Where applicable:

  • Billing is managed via Shopify
  • Fees are non-refundable except as required by law
  • Pricing may change with notice

10. Third-Party Services

The App relies on Shopify and may integrate with third-party services.

We are not responsible for:

  • Shopify outages or platform changes
  • Third-party service failures
  • Data handling by Shopify or other providers

11. Disclaimers

The App is provided "as is" and "as available".

To the extent permitted by law:

  • We do not guarantee uninterrupted operation
  • We do not guarantee suitability for all business needs

ACL Notice: Nothing in these Terms excludes rights under the Australian Consumer Law that cannot be excluded.

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect or consequential loss
  • Our liability is limited to fees paid in the preceding 12 months, or AUD $100 if no fees are paid

Where liability cannot be excluded under ACL, it is limited to resupply of services or payment of resupply cost.

13. Termination

You may terminate by uninstalling the App.

We may suspend or terminate access if:

  • You breach these Terms
  • Required by law
  • Your use creates risk

14. Data and Security

We implement reasonable technical and organisational measures to protect data.

The App does not store customer PII.

15. Changes to Terms

We may update these Terms with notice via the App or Shopify listing.

16. Governing Law

These Terms are governed by the laws of Queensland, Australia.
